1. Acceptance of Terms

Welcome to MARASOON (the "Service"). The Service is operated by Memoir Tech LLC ("we," "us," or "the Company").

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of the Service

MARASOON is an online community platform designed for runners, providing services including but not limited to:

• Marathon event information and event calendars
• Uploading, displaying, and sharing running activity data and routes
• Management of race completion records and personal running data
• Community interaction features such as comments, ratings, and discussions

3. User Accounts

3.1 Account Registration

Certain features of the Service require account registration. You agree to provide accurate, complete, and up-to-date information and to keep such information current. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.2 Account Responsibility

If you become aware of any unauthorized use of your account, you must notify us promptly.

3.3 Account Termination

You may request to deactivate or delete your account at any time through the Service or by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms, applicable laws, or engage in activities that compromise the security or integrity of the Service.

4. User Content

4.1 Ownership and License

You retain ownership of any content you upload or submit to the Service, including but not limited to activity data, route files, photos, comments, and text ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, host, store, and display such content solely for the purpose of providing the Service to you. Data imported from third-party services (such as Strava or Garmin) remains subject to those services' terms and is used only to display your personal records to you.

4.2 Content Standards

You agree not to upload, post, or distribute User Content that:

• Is unlawful, harmful, threatening, abusive, or harassing
• Infringes intellectual property rights or privacy rights of others
• Contains viruses, malware, or other harmful code
• Is false, misleading, or deceptive
• Constitutes spam, advertising, or unauthorized commercial solicitation

5. Intellectual Property

Except for User Content, all content, features, functionality, and design of the Service are the exclusive property of Memoir Tech LLC and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

6. Acceptable Use Restrictions

You agree that you will not:

• Use the Service for any unlawful purpose
• Interfere with or disrupt the operation or security of the Service
• Attempt to gain unauthorized access to systems or networks
• Use automated tools (such as bots or scrapers) without authorization
• Collect or misuse information of other users
• Impersonate any person or entity

7. Paid Features

MARASOON offers both free and premium membership options:

7.1 Pricing

Premium membership is available as a one-time payment of $99 USD, granting lifetime access to all premium features. Pricing may vary by country or region based on local purchasing power and payment processing fees.

7.2 Billing

Premium membership is a one-time purchase, not a recurring subscription. Payment is processed securely through our authorized payment processors (Stripe, PayPal, or Lemon Squeezy). By purchasing, you authorize a single charge to your selected payment method. All payment transactions are processed by independent third-party payment processors. We does not store or process full payment card details.

7.3 No Automatic Renewal

Unlike subscription services, our premium membership does not automatically renew. Your one-time payment grants permanent access to premium features with no recurring charges.

7.4 Payment Methods

We accept major credit cards (Visa, MasterCard, American Express, Discover), PayPal, and other payment methods supported by our payment processors. Apple Pay and Google Pay may be available where supported.

7.5 Failed Payments

If a payment fails, you may retry the purchase at any time. We will not charge your payment method without your explicit action.

8. Refund Policy

8.1 Refund Eligibility

As premium membership is a one-time purchase for lifetime access, refunds are generally not provided after purchase. However, we may consider refund requests in exceptional circumstances.

8.2 Refund Requests

If you believe you are entitled to a refund due to technical issues preventing access to premium features, please contact us at [email protected] within 14 days of the purchase. Refund requests will be reviewed on a case-by-case basis and are granted at our sole discretion.

8.3 Non-Refundable Circumstances

The following are generally non-refundable: purchases made more than 14 days ago, accounts terminated for Terms of Service violations, and cases where premium features have been substantially used.

8.4 Chargebacks

If you initiate a chargeback or payment dispute with your bank or credit card company without first contacting us to resolve the issue, we reserve the right to suspend your account pending resolution and may terminate your account if the chargeback is found to be unjustified.

8.5 Refund Processing

Approved refunds will be processed within 5-10 business days and credited to the original payment method. Please note that your bank may take additional time to reflect the refund in your account.

9. Dispute Resolution

9.1 Informal Resolution

Before filing any legal claim against us, you agree to first contact us and attempt to resolve the dispute informally by sending an email to [email protected]. We will make good faith efforts to resolve the dispute within 30 days.

9.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Sheridan, Wyoming, United States, and shall be conducted in English.

9.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

9.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

10. Modification or Termination of the Service

We reserve the right to modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. Your use of the Service is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, Memoir Tech LLC, its directors, officers, employees, partners, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

13. Indemnification

You agree to indemnify, defend, and hold harmless Memoir Tech LLC and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another party.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the State of Wyoming.

15. Changes to These Terms

We may update these Terms from time to time. If material changes are made, we will notify you via the Service or by email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the revised Terms.
